Terms and Conditions

These terms & conditions (‘Terms’) form a binding agreement between you and Close International Asset Management Limited (‘we’, ‘us’, ‘our’ and ‘CIAM’). Please read them carefully before clicking on the accept button at the foot of the page to continue to the I.Browse online service (the 'I.Browse Service'). Any information about your investments (the 'Information') is provided by CIAM in conjunction with our service provider, Automated Outsourcing Services (PTY) Limited (“AOS”).  By accepting these Terms, you acknowledge and agree that certain details that you have previously supplied to us will be used by us and AOS in the provision of the I.Browse Service.  Should further services become available through the I.Browse Service we will notify you of them appropriately. These terms contain the terms and conditions governing your use of (i) the Information; (ii) any password allocated to and/or used by you; and (iii) the I.Browse Service.

1. Provision and use of the I.Browse Service

1.1. You agree that your use of the I.Browse Service including but not limited to your username and password is subject to these Terms as they may be amended by CIAM from time to time. Any such changes will be effective immediately on being posted to the I.Browse Service website. You acknowledge that certain of your holdings with CIAM may be subject to individual product terms & conditions relating to them (‘Product Terms’). In the event of a conflict between these Terms and any Product Terms that CIAM has provided to you, these Terms shall prevail in respect of any matters relating to the use of the I.Browse Service, unless expressly notified otherwise by us.

1.2. You are solely responsible for providing and maintaining any equipment that you use to access the I.Browse Service. Technological changes from time to time may make the equipment that you currently use to access the I.Browse Service obsolete or otherwise unsuitable. CIAM reserves the right to change the I.Browse Service at any time even if this means that you will need to update or replace equipment that you use to access the I.Browse Service and CIAM accepts no liability for any costs or losses you may incur as a result of such changes. You are solely responsible for any telecommunications costs that you incur whilst using the I.Browse Service.

1.3. If you have reason to believe that Information received by you through the use of the I.Browse Service is not intended for you, you shall promptly notify us in writing or by telephone and forthwith delete any record of such Information.

2. Use of your username and password

2.1. You must use your best endeavours to keep your username and password secret. Your right to use the I.Browse Service is personal to you and you may not permit any other person to gain access to the I.Browse Service. If you become aware of, or suspect any unlawful or unauthorised use of the I.Browse Service or your username or password, you must immediately inform CIAM on any business day during the hours of 9.00 am and 5.00 pm (GMT).

2.2. We reserve the right to discontinue your ability to access the I.Browse Service at any time without notice if we believe you are using the I.Browse Service in breach of these Terms or if suspension is otherwise desirable for security reasons.

3. Limitations of Liability

3.1. We may suspend or restrict the use and availability of the I.Browse Service (for example, and without limitation, due to maintenance requirements) without prior notice and the I.Browse Service may also be interrupted by certain circumstances beyond CIAM’s control including, without limitation, unavailability, non-functioning or interruption of telecommunication services, acts of God, fire, flood, acts of government, war, civil commotion or labour disputes.  CIAM shall not be liable for any losses or damages occasioned by such interruption, suspension or restriction. In such circumstances you will be able to use all available alternative means of communication to obtain valuations of your holdings.  In no event will CIAM be liable to you for any losses or liabilities in relation to any other contract; or any other form of indirect, special or consequential loss or damage howsoever arising (including in particular the use of the I.Browse Service) and even if CIAM has been advised of the possibility of such damages.

3.2. Unless incurred or suffered directly by you as a result of our gross negligence or wilful default, CIAM shall not be responsible for, and you shall be responsible for and shall indemnify and keep CIAM indemnified on demand from and against all losses which may be incurred or suffered directly or indirectly by CIAM as a consequence of:

1. the use of the I.Browse Service by you otherwise than in accordance with these Terms;
2. any breach by you or the operator of the terms; or
3. use of the I.Browse Service by any unauthorised person or third party on your behalf

3.3. You acknowledge that whilst we agree to use all reasonable endeavours to provide the I.Browse Service in accordance with our documentation and to ensure that all Information available through the I.Browse Service is accurate and complete, the I.Browse Service in general may not be error free and you agree that the existence of such errors shall not constitute a breach of these Terms by us.  Information may not be checked for accuracy before it is transmitted to you through the I.Browse Service website. Therefore we can make no express or implied warranty as to the information being accurate, complete or fit for any particular purpose, and all such warranties are excluded to the fullest extent permitted by law. Any use you make of the I.Browse Service and the Information is at your own risk. You acknowledge and accept that information sent over the Internet cannot be guaranteed to be secure and that it may be subject to interception, misdirection, loss or alteration. Neither we nor AOS will have any responsibility for any communications sent over the Internet.  If you are in doubt about the accuracy of any Information obtained through the I.Browse Service, you should contact your usual point of contact at CIAM.

3.4. You acknowledge that the Information available through the I.Browse Service may be liable to change from time to time and that in particular there may be a delay between information or instructions being received and/or processed by us and/or AOS and the I.Browse Service being updated to reflect such changes. The Information available on the I.Browse Service shall not be taken as conclusive evidence as between you and us of the state or valuation of any relevant holding or account due to the fact that the Information may not be based on real time information or data.

4. Intellectual Property Rights

4.1. You acknowledge that you have no rights to any of the intellectual property comprised in the I.Browse Service website including in particular, password, username the Information or anything else other than as set out in these Terms, which shall remain the property of CIAM and/or AOS.

4.2. You may not copy, reproduce, duplicate, modify, adopt, lend, sell or otherwise transfer any of the Information from the I.Browse Service except for the purpose of accessing the I.Browse Service to print information for your own personal use.

5. General Provisions

5.1. If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

5.2. These Terms shall be governed by and construed in accordance with the laws of the Island of Jersey.  The Royal Court of Jersey shall have exclusive jurisdiction to settle any disputes or claim arising out of or in connection with these Terms.
